CHAIRPERSON: Jon Burgess, P.E.

MISSION / VISION:
Ensure that the corporate records of ChemPharma are stored in a safe place, kept up-to-date and are compliant with existing law so that the records can be easily accessed as a reference  on an as-needed basis.

PURPOSE:
  • Ensure that the by-laws contain provisions necessary for the responsible management of the ChemPharma networking group
  • Ensure that the actions of the Board of Trustees are consistent with the by-laws
  • Respond to questions concerning interpretation of the by-laws.
STRATEGY / OBJECTIVES:
  • Maintain Section 501(c) (6) IRS Status of ChemPharma
    • Ensure that ChemPharma completes the necessary procedures to file for tax exempt status under the above section of the IRS Code by working with ChemPharma president, appropriate chairpersons and outside attorney, Brenda Redress-Hoosien, who previously did filings on ChemPharma's behalf, to complete IRS Form 1024.
    • Confirm, periodically, that any other legal requirements for the maintenance of 501(c) (6) status are met.
  • Support By-laws Issues
    • Ensure that all members of the Board of Trustees, and outside attorney, have the latest version of the by-laws, adopted Fall 2004 (most recently re-adopted in July, 2008) to use as a guide in governing their actions.
    • Respond to questions, concerning how the by-laws affect the operations of ChemPharma as issues arise.
  • Support Contracts and legal issues
    • Upon request, review and modify all legal contracts to be entered into by ChemPharma, such as the  recently signed Web site contract.   
    • Review other legal issues as they arise.
  • Set up and maintain the corporate record book of all ChemPharma legal documents, including Certificate of Incorporation, by-laws,  and signed contracts, such as the recent Web site contract.
